Thomas Rivers

Thomas Rivers is a commercial real estate attorney at Bass, Dunklin, McCullough & Smith, PLLC. His practice covers a broad range of real estate matters and transactions including acquisitions, development, financing, leasing, management and dispositions. He has represented real estate owners, developers, investors, lenders and tenants in multifamily, office, retail, single-family residential, industrial and mixed-use projects. Thomas has experience in structuring and negotiating construction and permanent loans, institutional joint ventures, private offerings and other debt and equity financing. He also handles organizational matters in connection with the formation, maintenance and dissolution of partnerships and other entities.

Thomas strives to achieve clients’ objectives with a practical, business-oriented approach. He believes in understanding his client’s needs and finding efficient legal solutions for them. Prior to joining this Firm, Thomas was an attorney in the Charlotte offices of the law firms of Troutman Sanders LLP and K&L Gates LLP (formerly Kennedy Covington Lobdell & Hickman, L.L.P.)

Representative Matters

  • Represented a client in an approximately $66 million disposition of a portfolio of nine office buildings in North Carolina, South Carolina and Tennessee. The transaction involved a joint venture with an institutional investor.
  • Represented a client in the development of a $54 million, 312-unit multifamily project in Charleston, South Carolina, including the negotiation and structuring of equity financing with an institutional investor.
  • Represented a client in the development of two phases of a multifamily project in Charlotte, North Carolina with approximately 388 total units. Both phases involved due diligence, negotiating the acquisition of the land, negotiating construction financing and negotiating and structuring a joint venture with an institutional investor.
  • Represented a client in the development of an approximately $40 million, 310-unit multifamily project in Charlotte, North Carolina, including performing due diligence, negotiating and structuring a joint venture for the contribution of the land and negotiating the construction financing.
  • Represented a client in the development of an approximately $39 million, 241-unit multifamily project in Charlotte, North Carolina, including performing due diligence and negotiating the acquisition of the land, the construction financing and the institutional equity financing.
  • Represented a client in an approximately $14 million acquisition of two office buildings in Mooresville, North Carolina, including the negotiation of a loan assumption and an approximately $3.5 million refinancing.
  • Represented a client in an approximately $6 million acquisition of an existing multifamily project in Charlotte, North Carolina, including the negotiation of an acquisition loan and the structuring of a joint venture to provide the required equity.
  • Represented a national convenience store operator in the purchase, development, leasing and sale of convenience stores in multiple states in the southeastern region of the United States, including portfolio acquisitions and single-store transactions.
  • Represented a national bank in multiple joint ventures for syndicated bank groups to acquire title to foreclosed properties, typically including due diligence on the foreclosed properties and the negotiation of a joint venture agreement with the other banks in the syndicate group.
  • Represented a national bank in multiple construction loans for grocery-anchored shopping centers in multiple states in the southeastern region of the United States.
